PERMISSION RELEASE AGREEMENT

This Permission Release Agreement (the Agreement) is made effective as of between Grantor Name: and Grantee Name: .

WHEREAS

WHEREAS, Grantor is the owner of certain rights to their name, image, likeness, voice, performance and/or property (collectively, the Materials) and has the authority to grant permission for the limited uses described herein;

WHEREAS, Grantee desires to obtain permission to use the Materials in connection with Grantee's business, promotional, editorial, advertising, digital or other specified purposes, and Grantor is willing to grant such permission upon the terms and conditions set forth in this Agreement;

WHEREAS, the parties intend by this Agreement to define and limit the scope of the permission granted and to fix the consideration, term and other obligations of the parties.

SCOPE OF WORK

GRANT OF RIGHTS

Grantor hereby grants to Grantee a limited, non-exclusive, and non-transferable license to use the Materials solely for the purposes and in the media described in the Scope of Work section for the Term specified below. Grantee shall not use the Materials for any purpose beyond that scope without the prior written consent of Grantor. All rights not expressly granted are reserved by Grantor.

TERM AND TERMINATION

This Agreement commences on Start Date: and expires on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days following receipt of written notice. Upon termination, Grantee shall cease further use of the Materials and, where requested by Grantor, destroy or return all copies of the Materials in Grantee's possession.

CONFIDENTIALITY

The parties acknowledge that, in connection with this Agreement, either party may disclose Confidential Information to the other. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in writing; and (c) use Confidential Information solely to perform its obligations under this Agreement. The obligations in this section do not apply to information that is or becomes publicly known through no breach of this Agreement, is received from a third party without breach of any obligation of confidentiality, or is independently developed without reference to the Confidential Information.

Grantor represents and warrants that Grantor has the full right, power and authority to grant the rights granted herein and that the use of the Materials in accordance with this Agreement will not violate or infringe the rights of any third party. Grantee shall indemnify, defend and hold harmless Grantor from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Grantee's use of the Materials beyond the scope of the license granted or in breach of this Agreement.
