INSURANCE AND COMPLIANCE

Permit Holder shall maintain at all times commercial general liability insurance with limits not less than and shall provide evidence of insurance upon request.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed in connection with this Agreement and shall not disclose such information except to employees, contractors, or agents with a need to know who are bound by confidentiality obligations at least as protective as those contained herein. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or is required to be disclosed by law or competent authority.

INDEMNITY

Permit Holder shall indemnify, defend and hold harmless Permit Issuer, its officers, directors and employees from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Permit Holder’s use of the permitted locations, except to the extent caused by the gross negligence or willful misconduct of Permit Issuer.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any site-specific attachments and permit references listed herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. Any modification must be in writing and signed by both parties.
