Parties and Contact Information

Recitals

WHEREAS, Client Name: wishes to engage Account Manager to maintain and administer certain personal accounts, records and related services as further described in this Personal Accounts Form; and

WHEREAS, Account Manager Name: represents that it has the experience and capacity to perform the services described herein; and

WHEREAS, the parties desire that this agreement become effective as of Effective Date: (the "Effective Date").

Account Details

The Account Manager will maintain records and provide services for the personal accounts listed below. The Client authorizes the disclosure of account information to the Account Manager to the extent necessary to perform the services below.

Scope of Work

The Account Manager shall perform the following services for the personal accounts identified above. Services include, but are not limited to, the tasks described in the scope field below.

Payment Terms

Client shall pay Account Manager the fees described below in exchange for the services rendered. Fees are exclusive of applicable taxes unless otherwise stated.

Payment not received within the specified grace period shall accrue interest at the Late Fee Rate indicated above. Client shall also be responsible for reasonable costs of collection, including attorney fees, incurred by Account Manager in enforcing unpaid fees.

Term and Termination

This Agreement shall commence on Commencement Date: and shall continue until Termination Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by giving written notice to the other party at least the number of days specified above. Termination for cause shall be effective immediately upon written notice if the other party materially breaches any obligation and fails to cure within 14 days after written notice of the breach.

Confidentiality

Each party (the "Receiving Party") shall hold confidential and not disclose to any third party any non-public information obtained from the other party (the "Disclosing Party") relating to financial accounts, personal data, strategies, or other proprietary information, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the Receiving Party.

Representations; Authority

Each party represents and warrants that (i) it has full power and authority to enter into and perform this Agreement, (ii) the person signing on behalf of each party is authorized to bind that party, and (iii) all information provided to the other party for the purpose of performing under this Agreement is true and accurate to the best of the representing party's knowledge.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Each party consents to the exclusive jurisdiction of the state and federal courts located in that state for purposes of any action arising out of or relating to this Agreement.

Entire Agreement

This Personal Accounts Form, including all schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice is effective upon receipt.
