Agreement Recitals

This Personal Bio Template Agreement (the "Agreement") is entered into by the parties identified below. Client Name:

WHEREAS, the Service Provider specializes in drafting, editing, and formatting professional personal biographies and templates for public and private use; and

WHEREAS, Client desires to engage Service Provider to prepare a bespoke personal biography template and related deliverables on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider will prepare a personal biography template tailored to Client's objectives, including structure, tone guidelines, and editable content sections. Deliverables may include up to three length variants (short, medium, long), formatting notes, and a final editable document in the format agreed below.

Personal Bio Content Fields

The template will incorporate the following structured fields to be completed by Client or Service Provider on Client's behalf:

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services and deliverables. Fees are non-refundable except as expressly provided in this Agreement.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date or until both parties have fulfilled their obligations, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination shall not relieve Client of obligation to pay fees for work performed prior to termination.

Confidentiality

Each party agrees to maintain the confidentiality of information clearly designated as confidential by the disclosing party. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without obligation of confidentiality.

Client acknowledges that biographical content may contain personal data. Service Provider shall use reasonable administrative, technical, and physical safeguards to protect such data while performing services hereunder.

Intellectual Property & Usage

Subject to payment in full, Service Provider assigns to Client all rights, title and interest in the final approved biography template and deliverables, excluding pre-existing templates, tools, and general writing methodologies of Service Provider. Client grants Service Provider a limited, non-exclusive right to feature anonymized excerpts in Service Provider's portfolio unless Client checks the box below to deny portfolio use.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by the parties below. Parties submit to the exclusive jurisdiction of courts located in that jurisdiction for disputes arising under this Agreement.

Indemnification and Limitation of Liability

Each party indemnifies the other against claims arising from its own negligent or willful acts. Except for indemnification obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of Service Provider for any claim arising from this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement.

Entire Agreement

This Agreement, together with any attachments and statements of work signed by the parties, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior discussions and agreements. Amendments must be in writing and signed by both parties.

Representations and Warranties

Each party represents that it has full power and authority to enter into this Agreement. Client warrants that any material provided to Service Provider does not infringe third-party rights and that Client has the right to authorize Service Provider to use such material for the purposes set forth herein.

Acceptance and Revisions

Client will have a specified revision allowance to request edits to the deliverable as outlined in the Scope of Work. Reasonable additional revisions beyond the allowance may be performed at Service Provider's standard hourly or per-revision rate.
