WHEREAS, the Parties wish to set forth their respective rights and obligations with respect to the creation, use, compensation, confidentiality, and ownership of the biography materials.

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within Notice Period: days after written notice. Termination for convenience by either Party requires written notice as provided above and payment for work performed to the date of termination.

Confidentiality

The Parties acknowledge that certain personal, medical, financial, and family information (the "Confidential Information") may be disclosed in the course of preparing the biography. The Biographer shall hold Confidential Information in strict confidence, shall use it only for purposes of performing under this Agreement, and shall not disclose such information to third parties except as required to perform the Services or as authorized in writing by the Subject. The obligations in this section survive termination of this Agreement for a period of five (5) years.

Release and License for Use of Materials

Subject hereby grants to Biographer a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, publish, and distribute the biography materials and subject-provided content for the purposes set forth in this Agreement, including promotional materials, unless otherwise limited in writing. Subject warrants that they have the authority to grant such rights with respect to the materials provided and will obtain any third-party releases necessary to permit Biographer's lawful use.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to choice of law rules. This Agreement constitutes the entire agreement between the Parties concerning the subject matter and supersedes all prior agreements and understandings, whether written or oral.

Subject agrees to indemnify and hold the Biographer harmless from and against any claims, losses, or expenses arising out of Subject's breach of the foregoing warranties or from inclusion of third-party materials for which Subject did not obtain necessary rights.

Miscellaneous Provisions

Amendments to this Agreement must be in writing and signed by both Parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect. Notices shall be delivered to the contact information provided in this Agreement and shall be effective upon receipt.
