PERSONAL CLIENT AGREEMENT

FEES, PAYMENT AND EXPENSES

Client will pay Provider fees as set forth below. All fees are payable in United States dollars unless otherwise agreed in writing.

Late payments will incur interest at a rate of percent per month (or the maximum permitted by law, if less). Client is responsible for reimbursing reasonable, documented out-of-pocket expenses incurred by Provider to perform the services, subject to prior approval for any single expense in excess of .

TERM AND TERMINATION

This Agreement begins on the Effective Date and continues until completion of the services unless earlier terminated as set forth below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may be immediate if the breach is not cured within days after written notice.

CONFIDENTIALITY

Each party will keep confidential all non-public information disclosed by the other party that is marked confidential or would reasonably be understood to be confidential. Confidential information excludes information that was known to the recipient prior to disclosure, becomes publicly available without breach, or is rightfully received from a third party without confidentiality obligations.

The obligations in this section will survive termination of this Agreement for a period of years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider retains ownership of pre-existing materials and methodologies. Client is granted a non-exclusive license to use deliverables provided to the Client for the Client's internal purposes upon full payment. If the parties agree that deliverables will be assigned to Client, the parties will document such assignment and any payment required for transfer of ownership.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party will be liable for indirect, special, incidental, or consequential damages. The aggregate liability of a party for all claims arising from or relating to this Agreement shall not exceed or the total fees paid by Client under this Agreement, whichever is greater.

Client agrees to indemnify, defend, and hold harmless Service Provider from and against any claims, liabilities, losses, and expenses arising out of Client's use of the deliverables or Client's breach of this Agreement, except to the extent caused by Provider's gross negligence or willful misconduct.

DISPUTE RESOLUTION; GOVERNING LAW

The parties will attempt in good faith to resolve any dispute arising under this Agreement through negotiation between executives. If unresolved, the dispute will be resolved by binding arbitration in accordance with the rules chosen by the parties. Governing law for this Agreement is the laws of the State of without regard to its conflict-of-laws principles.

NOTICES

All notices must be in writing and delivered by hand, registered mail, or email with confirmation to the addresses below.

MISCELLANEOUS

This Agreement, including all attachments and referenced statements of work, constitutes the entire agreement between the parties and supersedes prior understandings. No amendment is effective unless in writing and signed by both parties. If any provision is held invalid, the remainder of the Agreement remains enforceable.
