PERSONAL COACHING AGREEMENT EXTENSION

This Extension to Personal Coaching Agreement (the "Extension") is made effective as of by and between:

Recitals

WHEREAS the parties entered into a Personal Coaching Agreement dated (the "Original Agreement"); and

WHEREAS the parties desire to extend and modify certain terms of the Original Agreement on the terms and conditions set forth in this Extension.

Scope of Services

Fees and Payment

Confidentiality

All confidentiality, nondisclosure, and privacy obligations contained in the Original Agreement remain in full force and effect for the duration of the Extension. The parties affirm that confidential information disclosed prior to or during the Extension continues to be protected under those obligations.

Cancellation and Rescheduling

Client must provide at least hours' notice to cancel or reschedule a session without penalty. Failure to provide such notice may result in a cancellation fee of or forfeiture of the session at Coach's discretion.

Termination

Either party may terminate this Extension for convenience upon providing days' written notice to the other party. Immediate termination is permitted where a party materially breaches this Extension and fails to cure within a reasonable cure period after written notice.

Liability and Indemnity

Coach provides coaching services, not therapy, medical, legal or financial advice. Client acknowledges personal responsibility for decisions and actions taken in connection with coaching. To the fullest extent permitted by law, Client releases and indemnifies Coach from claims arising from Client's use of coaching services, except to the extent caused by Coach's gross negligence or willful misconduct.

Intellectual Property

Materials, worksheets, and coaching resources provided by Coach remain Coach's intellectual property. Client is granted a limited, nonexclusive license to use such materials for Client's personal, noncommercial use during the term of the Extension.

Governing Law and Dispute Resolution

This Extension is governed by the laws of the state of without regard to conflict of law principles. The parties agree to attempt good faith negotiation to resolve disputes before initiating litigation.

Notices

Amendment; Entire Agreement

Except as expressly modified by this Extension, all terms and conditions of the Original Agreement remain in full force and effect. This Extension, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings.

Acknowledgments

Each party represents and warrants that it has full authority to enter into this Extension, that its performance will not violate any other agreement, and that the person signing below is duly authorized to bind the party.
