PERSONAL CONTRACT

This Personal Contract (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client desires to engage Contractor to perform personal services described herein and Contractor represents that Contractor has the skill, experience and capacity to perform such services in accordance with the terms of this Agreement; and

WHEREAS, Contractor agrees to perform the services for Client in consideration of the compensation and upon the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement establish the full scope of their respective rights and obligations with respect to the services described below.

SCOPE OF WORK

Contractor shall perform the services described below in a professional and workmanlike manner and shall comply with any schedule, milestones and deliverables set forth in this Agreement or agreed in writing by the parties.

PAYMENT TERMS

Client shall pay Contractor in accordance with the following terms. All payments are due within the time specified on the invoice unless otherwise agreed in writing. Client shall be responsible for any taxes arising from payments to Contractor, except for taxes based on Contractor's net income.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following receipt of written notice. Termination does not relieve either party of obligations accrued prior to termination, including payment for services performed.

CONFIDENTIALITY

During the term of this Agreement and for a period of three (3) years following termination, each party shall hold in strict confidence and shall not disclose any Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The obligations herein do not apply to information that is publicly known through lawful means or is required to be disclosed by court order, provided the disclosing party gives prompt notice to the other party and cooperates to limit disclosure.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to attempt in good faith to resolve any dispute arising under this Agreement promptly by negotiation. If negotiation fails, the parties may submit the dispute to mediation prior to commencing litigation.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment shall be effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and agree that injunctive or equitable relief may be sought in addition to other remedies.
