PERSONAL DOCUMENT TEMPLATE

This General Business Agreement (the "Agreement") is made effective as of by and between:

RECITALS

WHEREAS, the Client desires to retain the Contractor to perform certain services and the Contractor agrees to perform such services under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

The Contractor shall perform the work and services described below. The description sets out material deliverables, standards applicable to performance, and any milestones.

PAYMENT TERMS

In consideration for the Services, the Client shall pay the Contractor in accordance with the schedule and amounts set forth below. All payments shall be made in United States Dollars unless otherwise agreed in writing.

Overdue payments shall bear interest at the lesser of (i) % per month, or (ii) the maximum interest rate permitted by applicable law. In addition to interest, the Client shall be responsible for reasonable collection costs and attorneys' fees incurred in the recovery of overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within 15 days after written notice specifying the breach. Termination shall not relieve the Client of its obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public, proprietary or confidential information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with this Agreement, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (i) hold the Confidential Information in strict confidence, (ii) use the Confidential Information solely to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those in this Agreement. The obligations in this Section shall not apply to information that: (a) is or becomes generally available to the public other than through breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to disclosure; (c) is independently developed by the Receiving Party; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates with the Disclosing Party to seek protective treatment.

The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall be protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of any disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization.
