Donor represents and warrants that, to the best of Donor's knowledge, the Gift is owned by Donor, is free and clear of liens, encumbrances, or claims, and that Donor has full right, power and authority to transfer the Gift to Recipient as provided herein. Recipient represents and warrants that Recipient accepts the Gift in its present condition and will comply with any specific conditions or restrictions expressly set forth in the Detailed Description of Gift.

TAXES AND EXPENSES

Each party acknowledges and agrees that it is solely responsible for the preparation and filing of any tax returns and for payment of any taxes, duties, fees or charges imposed by any governmental authority in connection with the transfer, receipt, ownership, or disposition of the Gift. Neither party shall rely on the other for tax or legal advice; each party shall obtain its own advice as necessary.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

MISCELLANEOUS

Entire Agreement: This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.
