PERSONAL INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement is made between:

Contractor is engaged as an independent contractor. Contractor is responsible for all federal, state and local taxes, insurance premiums, benefits and other obligations arising from payments made under this Agreement. Contractor shall not be treated as an employee for any purpose.

Contractor agrees to hold in confidence and not disclose Client's confidential information. Confidentiality obligations will survive termination for a period of following termination.

6. Ownership of Work Product

Unless otherwise agreed in writing, all original work product created by Contractor for Client under this Agreement will be considered work made for hire and shall be the sole property of Client. If any rights cannot be assigned as work made for hire, Contractor assigns all rights, title and interest in such work product to Client upon payment in full.

7. Insurance and Indemnification

Contractor shall maintain insurance appropriate to the services provided and will provide proof of insurance upon request. Contractor shall indemnify and hold Client harmless from any claims arising out of Contractor's performance, except to the extent caused by Client's gross negligence or willful misconduct.

8. Termination

Either party may terminate this Agreement for convenience upon days' written notice. Either party may terminate immediately for material breach that is not cured within a reasonable period following written notice.

9. Dispute Resolution and Governing Law

The parties agree to attempt informal resolution of disputes prior to commencing any formal proceeding. Any dispute arising from this Agreement will be governed by the laws of the State of .

10. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject and supersedes prior agreements. Amendments must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in effect.
