RECITALS

WHEREAS, Issuing Entity and Recipient desire to establish an electronic access credential in the form of a Personal Identification Number (PIN) to permit Recipient discrete, authenticated access to specified systems and resources under the terms set forth herein; and

WHEREAS, Issuing Entity requires that the assignment, use, storage and revocation of any PIN conform to security, confidentiality and audit standards necessary to protect sensitive information and system integrity; and

WHEREAS, the parties intend this Personal Identification Number Form and Agreement to record the issuance, authorized purpose, security obligations, and terms for payment (if applicable) associated with provision of access credentials.

SCOPE OF WORK

The Issuing Entity will generate and assign a Personal Identification Number to the Recipient for the following authorized purposes. Recipient acknowledges that use is limited to the stated scope and that any use beyond this scope is a breach of this Agreement.

If issuance or ongoing maintenance of the PIN incurs fees, the parties agree as follows.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause may be immediate where a material breach is not cured within ten (10) days after written notice.

CONFIDENTIALITY

Recipient acknowledges that the PIN and any access to systems or data conferred by the PIN may expose Recipient to Confidential Information. Recipient shall: (a) treat all such information as confidential; (b) not disclose, copy or permit access except to authorized personnel with a need to know; (c) implement and maintain commercially reasonable administrative, technical and physical safeguards to protect the PIN; and (d) promptly notify Issuing Entity upon any suspected compromise or unauthorized use. Disclosure required by law shall be limited to the minimum required and Recipient shall provide Issuing Entity prompt notice where permitted.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Issuing Entity at the time of issuance, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This document, together with any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to issuance and use of the Personal Identification Number and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written, relating to the same subject matter.
