Service Provider shall maintain as confidential all personal information provided by Client ("Confidential Information") and shall not disclose, publish or disseminate such information to third parties except: (a) as necessary to perform the services described in the Scope of Work; (b) as required by law or valid legal process; or (c) with Client's prior written consent. Service Provider shall implement administrative, technical and physical safeguards reasonably designed to protect Confidential Information from unauthorized access, use or disclosure.

VII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws. Venue for any dispute arising under this Agreement shall be the state or federal courts located within that state.

VIII. Entire Agreement

This Agreement, including the attached Personal Information sections and any exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification will be effective unless in writing and signed by both parties.
