PERSONAL INTEREST AGREEMENT

Confidentiality

The parties agree to keep confidential all non-public information regarding the Interest and the terms of this Agreement, except as required by law or to enforce the terms of this Agreement. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or other agreed written means, and shall be deemed given upon receipt.

General Provisions

This Agreement constitutes the entire agreement between the parties concerning the Interest and supersedes all prior oral or written agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
