PERSONAL LIFE STORY AGREEMENT

This Personal Life Story Agreement (the "Agreement") is entered into as of between Client Name: , Client Address: (hereinafter "Client"), and Service Provider Name: , Provider Address: (hereinafter "Writer").

RECITALS

WHEREAS, the Client possesses personal experiences, memories and related materials that the Client desires to have documented in written narrative form for publication, personal use, archival, or other authorized uses; and

WHEREAS, the Writer is engaged in the business of preparing, editing and producing written narratives and agrees to prepare a Personal Life Story Document in accordance with the terms and specifications set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Deliverables will consist of final manuscript and any interim drafts as identified above. Interim deliverables and the number of included revisions are as stated in the Description of Services. Additional revisions requested by the Client beyond those expressly included will be billed as additional services at the Writer's standard hourly rate or a mutually agreed fixed fee.

PAYMENT TERMS

Late payments that are not received within days of the due date shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, beginning on the date payment is due until paid. Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Writer to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and remain in effect until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. Either party may terminate for convenience upon days' prior written notice. Upon termination, Client shall pay Writer for all work performed and expenses incurred through the date of termination, pro rata for partially completed deliverables.

CONFIDENTIALITY

The parties acknowledge that Writer may receive sensitive personal information in the course of preparing the life story (the "Confidential Information"). Writer shall hold all Confidential Information in strict confidence, shall not disclose it to third parties except as authorized by Client or required by law, and shall use Confidential Information solely for the performance of this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of five (5) years. Notwithstanding the foregoing, information that is or becomes publicly known through no act or omission of Writer, or information already known to Writer prior to disclosure, shall not be deemed Confidential Information.

INTELLECTUAL PROPERTY; LICENSES

The Client represents and warrants that the Client is the author, owner, or authorized licensor of the personal stories, photographs, documents and other materials provided to Writer and that use of such materials by Writer in accordance with this Agreement will not infringe the rights of any third party.

Unless otherwise agreed in writing, the Client shall retain ownership of original source materials and of the narrative content provided by the Client. Upon full payment of all fees due hereunder, the Writer hereby assigns to the Client all right, title and interest in and to the final written manuscript (excluding Writer's preliminary notes, research files and internal drafts), including copyright, subject to the Writer's right to attribution in bibliographic credits unless the Client declines attribution in writing. Writer shall retain the right to use anonymized excerpts of the work for self-promotion or portfolio purposes, provided no Confidential Information is disclosed.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Each party represents and warrants that it has the full power and authority to enter into this Agreement. Client shall indemnify, defend and hold harmless Writer from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Client's breach of its representations or warranties or Client's provision of infringing or unlawful materials. Writer shall indemnify Client for claims arising from Writer's gross negligence or willful misconduct in the performance of the services.

NOTICES

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles. The parties shall first attempt in good faith to resolve any dispute arising out of this Agreement by negotiation. If negotiation fails, the parties agree to submit the dispute to mediation before pursuing any other remedy; costs of mediation shall be shared equally unless otherwise agreed.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment, modification or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The waiver of any breach shall not constitute a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
