This Personal Life Story Agreement (the Agreement) is made effective as of between:

WHEREAS

WHEREAS, the Client desires to have a written personal life story prepared that documents Client's life history, narratives, memories, photographs, and related materials (the Work); and

WHEREAS, the Author represents that Author has the skill, experience, and capability to prepare, edit, and deliver the Work on the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the preparation, ownership, confidentiality, and use of the Work.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Upon termination, the Client shall pay the Author for all work performed and reasonably incurred expenses up to the date of termination, and the Author shall deliver all completed materials to the Client upon receipt of such payment.

CONFIDENTIALITY

The parties acknowledge that the Work and related interviews, documents, and materials may contain confidential or sensitive personal information. The Author shall hold in confidence and shall not disclose such confidential information except as necessary to prepare the Work or as required by law. The Author shall implement reasonable safeguards to protect personal information and shall not use the confidential information for any purpose other than performance under this Agreement.

INTELLECTUAL PROPERTY AND RIGHTS

Copyright Ownership: The Author retains copyright in the written Work and in any original expressive contributions provided by the Author, unless the parties execute a separate written transfer of copyright. The Author grants the Client a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the Work for personal, non-commercial purposes, including sharing with family members and for private memorial uses.

Transfer copyright to Client subject to additional compensation and separate written agreement.

Moral Rights: To the extent permitted by law, the Author waives moral rights to the Work for the Client's use consistent with this Agreement.

DELIVERY, REVISIONS, AND MATERIALS

WARRANTIES, INDEMNITY, AND LIMITATIONS

Each party warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations. The Client represents that the Client has the right to disclose personal stories and materials provided to the Author and that such disclosure does not violate the rights of third parties. The Client shall indemnify and hold the Author harmless from any claims, losses, or liabilities arising from the Client's breach of this representation.

Limitation of Liability: To the maximum extent permitted by law, neither party shall be liable for consequential, incidental, or punitive damages, and the Author's total liability under this Agreement shall not exceed the total fees paid by the Client to the Author under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules.

ENTIRE AGREEMENT

This Agreement, together with any attached schedules or exhibits, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Notices: All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice in accordance with this section. If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
