WHEREAS

WHEREAS, the Parties desire to set forth mutual expectations, obligations, and commitments governing their personal relationship in a clear and mutually enforceable manner;

Any payment obligation is subject to written notice of breach and a cure period of the notice period set forth below. The Parties agree that monetary arrangements are supplementary to the Parties' personal commitments and do not convert this Agreement into an employment or fiduciary relationship except as expressly stated.

Either Party may terminate this Agreement for convenience upon providing written notice to the other Party in accordance with the notice period specified above. CONFIDENTIALITY

Each Party agrees to maintain in confidence all confidential information disclosed by the other Party in connection with this Agreement that a reasonable person would consider confidential, including personal communications, financial arrangements described herein, and intimate or sensitive personal information ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving Party; (b) was known to the receiving Party prior to disclosure by the disclosing Party; or (c) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information.

The receiving Party shall use Confidential Information solely to perform obligations under this Agreement and shall not disclose Confidential Information to third parties except to attorneys, accountants, or other advisors who require access and agree to maintain confidentiality. A Party may disclose Confidential Information if required by law, provided the disclosing Party gives prompt written notice to the other Party to allow a protective order or other remedy.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflict of laws principles. The Parties agree to attempt to resolve any dispute arising under or in connection with this Agreement through good-faith negotiation. If negotiation fails, the Parties agree to submit the dispute to mediation before commencing litigation. If mediation is unsuccessful, either Party may pursue any available legal remedies.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both Parties to be effective.

MISCELLANEOUS

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: A Party's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Relationship of Parties: The Parties are independent contracting parties and nothing in this Agreement creates an employment, agency, or partnership relationship unless expressly stated.
