Client shall pay Photographer the total fee described below. All payments are non-refundable except as expressly stated in this Agreement.

Copyright, Ownership, and Usage

Photographer retains all copyright and moral rights in the images. Photographer grants Client a limited, non-exclusive, perpetual license for personal, non-commercial use of the delivered images unless otherwise agreed in writing.

Commercial use, resale, sublicensing, or transfer of rights requires a separate written license and additional compensation. Client shall not remove Photographer credit where image use allows for credit.

Model Release & Privacy

Client hereby grants Photographer the right to use images of Client and participants for promotional, portfolio, and marketing purposes unless Client checks the box below to withhold promotional use.

Cancellation, Rescheduling & Weather

If Client cancels the assignment more than days prior to the scheduled date, deposit may be applied toward a rescheduled date within six months. Cancellation within that period forfeits deposit. Photographer may reschedule for reasons of illness, emergency, or severe weather; in such cases Photographer will make reasonable efforts to provide a mutually agreeable alternate date.

Limitation of Liability & Indemnification

Photographer's liability for any claim related to this Agreement or the services performed shall be limited to direct damages and shall not exceed the total fees paid by Client under this Agreement. Photographer is not liable for indirect, incidental, or consequential damages. Client shall indemnify and hold Photographer harmless from third-party claims arising from Client's misuse of images.

Image Retention & Backup

Photographer will retain a backup copy of the final delivered images for a minimum of from delivery. Client is responsible for their own archival copies after delivery.

Insurance

Photographer is encouraged to maintain liability and equipment insurance. Client is responsible for insuring personal property and obtaining any required location permits.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state of . Any dispute arising under this Agreement shall be resolved by mutual negotiation and, if necessary, binding arbitration in the county where Photographer resides.

Entire Agreement

This Agreement contains the entire understanding between the parties. Any modifications must be in writing and signed by both parties.
