CANCELLATION AND RESCHEDULING

COPYRIGHT, LICENSE, AND USAGE

Photographer retains all copyright in the images created. Photographer grants Client a non-exclusive, non-transferable license to use the delivered images for personal, non-commercial purposes consistent with this Agreement, subject to the following:

Client shall indemnify and hold Photographer harmless from claims arising from Client's breach of this Agreement, Client's use of the images, or third-party claims related to Client-provided materials or instructions.

FORCE MAJEURE; UNANTICIPATED EVENTS

Neither Party shall be liable for failure to perform due to acts beyond its reasonable control, including but not limited to severe weather, illness, or other events of force majeure. In such event the Parties will make reasonable efforts to reschedule or otherwise agree on revised performance.

ARCHIVAL RETENTION

Photographer will retain backup copies of delivered images for a period of after delivery. Restoration of lost files after that period may incur additional fees.

GOVERNING LAW; DISPUTE RESOLUTION
