Deliverer represents and warrants that, at the time of delivery, Deliverer has full authority to deliver the items and that, unless expressly disclosed in writing, the items are free of known undisclosed encumbrances. Deliverer makes no other express warranties, and all other warranties, express or implied, are disclaimed to the extent permitted by applicable law.

Recipient accepts the items "as received" except for items and conditions specifically noted in writing on this form. Any listed exceptions or reservations are set forth below.

Liability and Indemnity

Except to the extent caused by gross negligence or willful misconduct, Deliverer shall not be liable for incidental or consequential damages arising out of the delivery or condition of the items. Recipient agrees to indemnify and hold Deliverer harmless from claims, losses, or expenses arising from Recipient's handling, storage, use, or disposal of the items after reception, except to the extent caused by Deliverer's gross negligence or willful misconduct.
