Transferor represents and warrants that it has lawful authority to transfer the records described and that, to the best of its knowledge, the records are accurate and complete as of the transfer date. Transferor makes no other warranties, express or implied.

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages arising from the transfer or possession of records. Remedies for breach of confidentiality may include injunctive relief and recovery of direct damages.

Governing Law

This Personal Record Transfer Sheet shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Entire Agreement
