This Agreement sets out the terms on which the Retainer Provider will perform personal advisory and/or professional services for Client. The Provider accepts engagement on the terms set forth in this Agreement and Client retains the Provider for the Scope of Services described below.

SCOPE OF ENGAGEMENT

Services to be provided are limited to those expressly described above. Any additional services or material changes in scope require prior written agreement and may incur additional fees.

FEES, RETAINER AND BILLING

Fee arrangement (select applicable):

Provider will apply payments first to outstanding invoices, then to the retainer balance. Client understands that the retainer is earned as services are rendered against it; any refund on termination will be the unearned portion after payment for services performed and reimbursable expenses.

REIMBURSABLE EXPENSES

Client shall reimburse Provider for reasonable out-of-pocket expenses incurred in the performance of services. Provider may require an advance for large anticipated costs.

TERM AND TERMINATION

This Agreement continues until completion of the Scope of Services unless earlier terminated by either party on written notice. If Client terminates, Provider will bill for work performed and expenses incurred through the termination date. Provider may terminate for nonpayment or material breach.

CONFIDENTIALITY

Provider agrees to maintain in confidence information disclosed by Client that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information does not include information that is publicly known or rightfully received from a third party without an obligation of confidentiality.

CONFLICTS; COMPLIANCE

Provider represents that, to the best of its knowledge, no conflict prevents Provider from performing the services. Client will notify Provider of any change in circumstances that may create a conflict. Both parties agree to comply with applicable laws and regulations in carrying out their obligations.

LIMITATION OF LIABILITY AND INDEMNITY

Except for willful misconduct or gross negligence, Provider's liability for any claim arising out of this Agreement shall be limited to fees paid by Client to Provider under this Agreement in the twelve months preceding the claim. Client shall indemnify and hold Provider harmless from liabilities arising from Client's acts or omissions in connection with the services.

WORK PRODUCT; RECORDS

All original documents provided by Client remain Client property. Provider retains ownership of Provider's internal work product and methodologies. What a Personal Retainer Agreement Is

Personal Retainer Agreement is a written contract between an individual client and a professional (such as an attorney, consultant, or advisor) that outlines the scope of services, payment terms, retainer fees, and the rights and obligations of each party. It establishes the retainer amount held on account, whether it is refundable, billing rates for services rendered, and procedures for terminating the relationship. The agreement clarifies responsibilities, conflict-of-interest disclosures, dispute resolution method, and the governing law that will apply to the contract.

Why a Retainer Agreement Matters

A Personal Retainer Agreement protects both client and professional by defining payment expectations, service scope, and termination rights. It reduces misunderstandings, documents consent to fees and procedures, and creates a clear framework for billing, conflicts, and dispute resolution under applicable law.

Why a Retainer Agreement Matters

Who Typically Uses a Personal Retainer Agreement

Professionals and individual clients commonly use a Personal Retainer Agreement to set expectations, define fees, and document the relationship.

  • Private clients hire attorneys or consultants for ongoing advisory work with a prepaid or replenish retainer.
  • Independent professionals use retainers for guaranteed availability, project planning, and priority scheduling.
  • Firms use retainer agreements for ongoing services like tax compliance, legal counsel, or advisory retainers.

Use the agreement to record obligations, invoicing cadence, termination terms, and any special conditions tied to confidentiality or intellectual property.

Core Sections to Include in a Professional Retainer Agreement

Core sections of a professional Personal Retainer Agreement set duties, payment mechanics, retainer handling, duration, confidentiality, dispute resolution, and termination procedures in clear, enforceable language.

Scope

Describe specific services covered, deliverables, exclusions, estimated hours if applicable, and any conditions that trigger additional work or separate engagement agreements, including timelines and milestone acceptance criteria.

Retainer Fee

Specify retainer amount, whether the retainer is refundable or earned upon receipt, how funds are held (trust or operating account), and procedures for replenishment and accounting for unearned portions.

Billing Terms

State hourly rates or flat fees, billing intervals, invoice content requirements, payment due dates, accepted payment methods, late fees, and handling of disputed charges and interest calculation.

Confidentiality

Include non-disclosure scope, duration, permitted disclosures, return or destruction of materials, exceptions, and any required HIPAA or privacy addenda for health information, including breach notification protocols.

Term & Termination

Set initial term, renewal conditions, notice periods, obligations on termination (final accounting, return of property), and effects on outstanding fees or ongoing work, plus client transition assistance.

Dispute Resolution

Identify governing law and forum, negotiation and mediation steps, arbitration or court options, allocation of attorney fees, and any limitations on class actions or remedies.

Step-by-Step: Complete and Execute a Retainer Agreement

Follow these steps to complete and execute a Personal Retainer Agreement accurately, whether using a paper form, remote notarization, or an electronic signing platform.

  • 01
Prepare: Collect client details, scope description, fee schedule, and supporting documents.
  • 02
Negotiate: Agree on terms, modifications, and any confidentiality or IP clauses.
  • 03
Sign: Execute signatures, dates, and any required witness or notary acknowledgements.
  • 04
Record/Store: Provide copies to parties, retain originals per retention policy.

How Electronic Execution Typically Works

Typical electronic execution flow for a Personal Retainer Agreement shows upload, field placement, signer invitations, authentication, signing, and record retention with audit trail capture.

  • Upload: Upload the agreement as PDF or DOCX to the signing platform.
  • Place Fields: Add signature, initial, date, and optional conditional fields.
  • Authenticate: Choose signer verification: email, SMS code, or stronger methods.
  • Complete: Signer reviews, signs, and receives final signed copy plus audit report.

Configuring an Online Signing Workflow

Configure an online signing workflow that enforces proper fields, signer order, authentication strength, and notification rules for a Personal Retainer Agreement.

Field Configuration
Signing Order Sequential or parallel signer order; specify executor roles.
Authentication Email, SMS OTP, or KBA; use stronger methods for sensitive data.
Conditional Fields Show fields only when applicable to reduce signer errors.
Retention Settings Set automatic archival, access controls, and exportable audit logs.

Platform Capabilities to Confirm for eSigning

Use an eSignature platform that supports secure storage, audit trails, and appropriate authentication for client agreements.

  • File Formats: PDF and DOCX supported.
  • Integrations: Works with Salesforce, NetSuite, Google Workspace.
  • Security: TLS 1.2/1.3 and AES-256 at rest.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest.
Certifications: ISO 27001, SOC 2 Type II, PCI DSS.
Privacy Laws: GDPR and CCPA compliance.
Healthcare: HIPAA compliant with BAA available.
Audit Trail: Detailed timestamps, IP, action logs.
Regulatory: 21 CFR Part 11 support available.

Key Penalties and Risks from Errors

Unenforceable Terms: Ambiguous scope may void obligations.
Fee Disputes: Ambiguous billing triggers disputes and litigation.
Trust Accounting: Failure to segregate funds breaches fiduciary duty.
Regulatory Noncompliance: HIPAA or privacy gaps can lead to penalties.
Tax Consequences: Incorrect reporting may trigger IRS penalties.
Notarization Errors: Missing acknowledgements can hinder enforcement.

Common Preparation Mistakes to Avoid

  • Using vague language for scope or deliverables that leaves room for differing expectations and later disputes about what services were agreed.
  • Failing to state whether retainer fees are refundable or earned causes confusion over refunds when engagements end or billing changes occur.
  • Neglecting to include termination notice periods, handover obligations, and final accounting can leave outstanding liabilities unresolved.
  • Omitting confidentiality, IP assignment, or data handling clauses in industry-specific work can expose parties to unintended disclosure risks.

Practical Drafting and Management Best Practices

Adopt clear drafting, consistent billing practices, and documented consent to electronic signatures to reduce disputes and streamline enforcement across jurisdictions.

Use Clear Scope and Deliverables
Define tasks, deliverables, deadlines, and what is excluded. Attach a schedule or statement of work with measurable acceptance criteria to avoid subjective performance disputes and to provide a basis for invoicing and change orders.
Document Fee Handling and Trust Accounting
Specify whether retainers are refundable or earned, where funds are held, replenishment triggers, and invoice reconciliation procedures. For attorneys, follow client trust accounting rules in your state to avoid disciplinary or civil liability.
Use Clear Termination and Transition Clauses
Include notice periods, final accounting procedures, obligations to return client materials, and assistance for orderly transition. Clarify responsibility for outstanding fees, work-in-progress, and timing of any refund for unused retainer balances.
Confirm Authentication and Record Retention Practices
Require a signed document with date and signer identity verification. Store executed copies with audit trails, secure backups, and defined retention periods aligned with IRS, HIPAA, and state requirements and legal hold procedures for disputes.

Typical Signatories and Their Roles

Attorney Solo Practitioner

Most solo attorneys use Personal Retainer Agreements to establish fee structures, escrow handling, and termination procedures; agreements must also reflect state bar trust accounting rules and may require additional disclosures in client-facing matters.

Independent Consultant

Consultants and advisors commonly use retainers for guaranteed availability and project continuity; contracts should include deliverable definitions, notice periods, billing increments, and IP ownership clauses where software or creative work is involved.
