This Personal Self-Employment Agreement is entered into on Date: between Client Name: (the "Client") and Contractor Name: (the "Contractor").

1. Engagement and Services

The Client engages the Contractor to perform the services described below (the "Services") and the Contractor accepts such engagement on the terms set forth herein.

3. Compensation and Billing

Late payments shall incur interest at a rate of on overdue balances until paid in full. If payment is not received within days after invoice due date, the Contractor may suspend Services upon five (5) days' written notice.

The Contractor is solely responsible for all federal, state, and local taxes, contributions, and withholdings arising from compensation paid under this Agreement. The Contractor shall maintain appropriate liability insurance and provide evidence of insurance upon the Client's request.

6. Confidentiality

The Contractor shall hold in strict confidence all nonpublic information disclosed by the Client that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Contractor shall not disclose or use Confidential Information except to provide the Services. This obligation survives termination of this Agreement for a period of three (3) years.

7. Ownership of Work Product

Unless otherwise agreed in writing, the Contractor assigns to the Client all right, title, and interest in and to all deliverables and work product created specifically for the Client under this Agreement. Contractor retains ownership of preexisting materials and general skills, ideas, know-how, and methodologies used in the performance of the Services.

8. Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach remains uncured for fifteen (15) days after written notice. Upon termination, the Client will pay the Contractor for Services performed and approved expenses incurred through the effective date of termination.

9. Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from the indemnifying party's negligence or willful misconduct in performing its obligations under this Agreement. Except for a party's indemnification obligations or breaches of confidentiality, neither party will be liable to the other for consequential, special, or incidental damages. The total liability of either party for direct damages is limited to the total compensation paid to the Contractor under this Agreement in the twelve (12) months preceding the event giving rise to liability.

10. Dispute Resolution and Governing Law

The parties will attempt to resolve disputes through good-faith negotiation. If unresolved, disputes will be resolved by arbitration if both parties agree, or otherwise in a court of competent jurisdiction. This Agreement is governed by the laws of the State of without regard to conflict of law principles.

11. Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes prior discussions. Amendments must be in writing and signed by both parties. Neither party may assign this Agreement without the other's prior written consent, except to a successor to substantially all of its business. If any provision is held unenforceable, the remaining provisions remain in force.
