Declarations — Insured and Policy Identification

Policy Period: From to . Coverage applies only to occurrences that take place during the policy period and are otherwise within the terms, conditions, limits and exclusions set forth herein.

Insuring Agreement and Limits

We agree, subject to the terms, conditions and exclusions of this Policy, to pay on behalf of the Insured those sums in excess of the retained limit that the Insured becomes legally obligated to pay as damages resulting from covered occurrences for which coverage is afforded under this Policy.

Underlying Insurance Requirements

This Policy is excess over applicable underlying liability insurance that must be maintained in continuous force and with limits not less than those stated. Failure to maintain required underlying insurance may void coverage for a claim.

Coverages — Optional Extensions

The following coverages are subject to the insuring agreement, limits, retention and all other terms and conditions of this Policy. Selection of any item below extends coverage as described in the applicable endorsement.

Exclusions

This Policy does not provide coverage for loss, expense, or liability arising out of the following, whether directly or indirectly: (a) intentionally caused injury or damage by an Insured; (b) business or professional pursuits of an Insured, except for incidental business activities specifically endorsed; (c) liability for which the Insured is required to maintain workers' compensation; (d) nuclear hazard; (e) pollution except as specifically endorsed; (f) war, military action or insurrection. Additional exclusions may apply as set forth in endorsements attached to this Policy.

Conditions and Duties of the Insured

In the event of an occurrence that may give rise to a claim under this Policy, the Insured must: (1) provide prompt written notice to the Insurer; (2) give all information, cooperate in investigation, settlement and defense; (3) forward immediately any legal process served upon the Insured; (4) take no action that prejudices the Insurer's rights of recovery. Failure to comply with these duties may result in denial of coverage to the extent the Insurer is prejudiced.

The Insurer has the right, but not the duty, to defend any suit against the Insured seeking damages to which this Policy applies. The Insurer may settle any claim or suit it deems appropriate. The Insured shall not admit liability, settle any claim, or incur expense without the Insurer's written consent.

Subrogation and Other Rights

Upon payment of any loss, the Insurer shall be subrogated to all rights of recovery of the Insured. The Insured shall execute and deliver instruments and papers and do whatever else is necessary to secure such rights. The Insurer may, at its expense, prosecute in the name of the Insured for its benefit any claim for recovery.

Beneficiary Designation (Return of Premium / Death Provisions)

To the extent this Policy provides for return of premium, death benefit or similar payment, designate a beneficiary for such payment below. This designation applies only to amounts payable on account of the Insured's death or returnable premium and does not alter the rights of third-party claimants for covered occurrences.
