Recitals

WHEREAS the Client desires that certain services be provided in connection with the Client's wedding scheduled on (the "Event"); and

WHEREAS the Service Provider represents that it possesses the skill, personnel and resources to perform the services described in this Agreement and is willing to provide such services subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

The Service Provider shall provide the services described below in a professional manner and in accordance with industry standards. Services shall include the tasks, deliverables and personnel specified. Any modifications to the Scope of Work must be documented in a written change order signed by both parties.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. In the event of force majeure, the parties shall attempt to agree on an equitable postponement or termination; if no agreement is reached within days, either party may terminate without further liability except for sums owing for services already rendered.

Confidentiality

Each party acknowledges that in the course of performance it may receive or have access to confidential information of the other party. Confidential information shall include pricing, guest lists, vendor contracts, logistics plans, and other non-public business or personal information. The recipient shall use Confidential Information solely for performance under this Agreement and shall not disclose such information to third parties except to those employees, contractors or subcontractors who need to know for performance and who are bound by confidentiality obligations no less restrictive than those herein.

The obligations in this section shall survive termination of this Agreement for a period of two (2) years. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement, or is rightfully received from a third party without restriction.

Liability and Insurance

The Service Provider shall maintain commercial general liability insurance and, upon request, shall provide evidence of such coverage. Except for gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, or punitive damages. The Client's sole and exclusive remedy for any claim related to this Agreement shall be limited to actual direct damages not to exceed the total fees paid to the Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement; Amendments

This Agreement, together with any attached exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No modification, amendment or waiver shall be effective unless in writing and signed by both parties.

Severability and Assignment

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that the Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
