PEST CONTROL BEE REMOVAL AGREEMENT

RECITALS

WHEREAS, Service Provider is duly licensed and qualified to perform pest control and bee removal services and represents that it employs trained personnel and uses industry-standard procedures for the safe removal, relocation, or treatment of bees; and

WHEREAS, Client desires to engage Service Provider to inspect and remove or treat a bee colony located at the Service Address on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the full understanding of their respective rights and obligations with respect to the services described herein.

SCOPE OF WORK

Service Provider shall perform the services described below. The services shall include assessment, removal or treatment, disposal or relocation (as selected), and cleanup to the extent specified. The parties may agree to additional services in writing.

Relocation (live removal and transport to a beekeeper)
Extermination (chemical treatment)
Physical removal and disposal of hive material
Inspection only (no removal)

PAYMENT TERMS

Client agrees to pay Service Provider the fees set forth below. All payments are due as provided and failure to pay when due constitutes a material breach authorizing termination and collection remedies.

If payment is not made by the Balance Due Date, Service Provider may assess the Late Fee stated above on any unpaid balance and may suspend further services until payment is current. Client is responsible for reasonable collection costs and attorneys' fees incurred to collect delinquent amounts.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Scope of Work, unless earlier terminated as provided below.

Either party may terminate for material breach if the breaching party fails to cure within the notice period. Termination by Client after work commences may result in charges for labor, materials, and reasonable cancellation fees.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information obtained from the other party in connection with this Agreement and shall not disclose such information except to employees, subcontractors, or agents with a need to know, or as required by law. Confidentiality obligations survive termination for a period of three (3) years unless otherwise agreed in writing.

LIABILITY, INDEMNIFICATION & SAFETY

Service Provider will perform services in a professional manner consistent with industry practices. Client acknowledges the inherent risks associated with bee activity. Service Provider's liability for damages arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement. Service Provider is not liable for indirect, incidental, consequential, or punitive damages.

Client shall indemnify and hold Service Provider harmless from and against any claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising from Client's negligence, breach of this Agreement, or failure to disclose known hazards or allergies at the Service Address.

PERMITS, ACCESS & AUTHORIZATIONS

Unless otherwise specified, Client is responsible for obtaining any permits or consents required by local authorities for relocation or destruction of bee colonies.

WARRANTY

Service Provider warrants that services will be performed in a professional manner. Except as expressly set forth, Service Provider makes no warranty, express or implied, including any warranty of merchantability or fitness for a particular purpose. Any warranty period and conditions must be stated in writing and signed by both parties.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.

MISCELLANEOUS

Any modification to this Agreement must be in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
