PEST CONTROL MOSQUITO MANAGEMENT AGREEMENT

This Pest Control Mosquito Management Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Service Provider is duly licensed and experienced in the provision of mosquito control, inspection, treatment, and ongoing management services; and

WHEREAS, Client owns or controls the property described in this Agreement and desires to obtain mosquito management services at the Service Location under the terms set forth herein; and

WHEREAS, the parties wish to document their respective obligations, payment terms, and other material provisions in a written agreement.

SERVICE LOCATION

SCOPE OF WORK

Service Provider will perform mosquito management services at the Service Location. Services will include monitoring, source reduction recommendations, larviciding where indicated, adulticiding treatments, and application of residual barrier treatments as appropriate. Specific tasks, limits, and frequencies are set forth below and in the scope description provided by the parties.

PAYMENT TERMS

Client shall pay Service Provider the fees described below in exchange for services rendered. All amounts are payable in United States currency unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure within the notice period set forth above, or immediately for a material safety or legal violation. Termination does not relieve Client of payment for services performed and costs incurred prior to termination.

CLIENT RESPONSIBILITIES

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this Agreement it may obtain Confidential Information of the other party. "Confidential Information" means non-public business, technical or other information disclosed in connection with this Agreement that is identified as confidential or that a reasonable person would understand to be confidential. Each party shall: (a) hold the other's Confidential Information in strict confidence; (b) not disclose it to third parties except employees and contractors who need access to perform this Agreement and who are bound by confidentiality obligations; and (c) not use it except to perform obligations under this Agreement. Confidential Information does not include information that is or becomes public through no fault of the receiving party or that is rightfully obtained from a third party without restriction.

INSURANCE, LIABILITY & INDEMNITY

Service Provider shall maintain general liability insurance consistent with industry practices and provide proof upon request. Service Provider's liability for direct damages arising from its gross negligence or willful misconduct shall be limited to the total fees paid under this Agreement for the twelve month period preceding the claim. In no event shall either party be liable for incidental, special, punitive or consequential damages. Client shall indemnify and hold Service Provider harmless from third-party claims arising from Client's negligence, failure to follow recommendations, or breach of this Agreement.

COMPLIANCE WITH LAWS & SAFETY

Service Provider will comply with applicable federal, state and local laws, rules and licensing requirements in providing services, and will follow label directions for all products used. Client agrees to follow Service Provider's reasonable safety instructions, including temporary restrictions of access to treated areas. Client is responsible for notifying Service Provider of any sensitive sites (e.g., aquaculture, apiaries, water features) prior to treatment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written scopes of work signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior oral or written agreements, proposals and understandings. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses provided above by hand, certified mail, or commercial overnight carrier and shall be effective upon receipt.
