PEST CONTROL SERVICE AGREEMENT

This Pest Control Service Agreement (the Agreement) is entered into on between Client Name: with principal address at (Client) and Service Provider Name: with principal address at (Provider).

WHEREAS, Client desires to obtain pest control services for the property described above; and

WHEREAS, Provider is duly licensed and qualified to perform pest control and related services and represents that it will perform such services in a professional manner consistent with industry standards; and

WHEREAS, the parties intend to set forth the terms and conditions under which Provider will provide pest control services to Client.

Late payment: Unpaid amounts shall accrue interest at and Client shall be responsible for all collection costs and reasonable attorneys' fees incurred by Provider in enforcing payment.

Term and Termination

This Agreement is effective as of the Effective Date: and shall continue until unless earlier terminated as set forth below.

Either party may terminate this Agreement for convenience upon written notice to the other party. Provider may terminate immediately for breach by Client, including nonpayment, and Client may terminate for material breach by Provider if Provider fails to cure within after written notice.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective date of termination. Provider will deliver any work-in-progress and final reports to Client within a commercially reasonable period following termination.

Confidentiality

Each party acknowledges that in performing under this Agreement it may have access to Confidential Information of the other party. "Confidential Information" means proprietary nonpublic business or technical information disclosed in written, electronic, or oral form and identified as confidential or that reasonably should be understood to be confidential. Each party agrees to (a) hold the other's Confidential Information in confidence, (b) not disclose it to any third party except as necessary to perform its obligations, and (c) use it only for the purposes of this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known by the receiving party, or is independently developed by the receiving party.

Insurance; Indemnity; Limitations

Provider shall maintain commercial general liability and workers' compensation insurance adequate for the services provided. Provider agrees to indemnify and hold Client harmless from liabilities arising from Provider's gross negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, special, or punitive damages.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties agree to attempt to resolve disputes through good faith negotiation and, if unresolved, through binding arbitration in the county where the Service Location is situated, unless otherwise agreed in writing.

Entire Agreement; Amendments

This Agreement, including any schedules, attachments, or exhibits signed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter and supersedes all prior negotiations, proposals, and agreements, whether written or oral. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand, certified mail, or overnight courier, and shall be deemed given upon receipt.
