Scope of Work

The Service Provider shall perform the pest control services described below at the Service Address. The Scope of Work below shall govern the services performed unless amended in writing and signed by both parties.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the intended termination date. Termination for cause may be immediate where a material breach remains uncured for more than days after written notice of breach.

Confidentiality

Each party agrees that it shall not disclose or use any confidential or proprietary information of the other party except as necessary to perform its obligations under this Agreement. Confidential information does not include information that is publicly known, already in the receiving party's possession, rightfully received from a third party without obligation of confidentiality, or independently developed without use of the disclosing party's confidential information. The obligations in this section shall survive termination of this Agreement for a period of two (2) years.

Liability and Warnings

The Service Provider will exercise commercially reasonable care in the application of pesticides and other materials. Client acknowledges that no pest control treatment can guarantee permanent eradication of pests and that adverse weather, sanitation, structural conditions, or other factors may affect results. Client agrees to follow preparatory and post-treatment instructions provided by the Service Provider. Service Provider's liability for direct damages arising from negligence shall be limited to the total payments made by the Client to the Service Provider under this Agreement during the preceding twelve (12) months. In no event shall Service Provider be liable for incidental, consequential, punitive, or special damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any written scope of work and any addenda signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.
