Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may be immediate where a material breach remains uncured after ten (10) days' written notice, or as otherwise required by law.

Confidentiality

Each party shall maintain in confidence all business information and records of the other party that are identified as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly available or independently developed without use of the other's Confidential Information. The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall not disclose it to third parties except to employees, agents, or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Insurance and Compliance

The Service Provider represents that it maintains insurance coverage appropriate to its operations, including commercial general liability and workers' compensation as required by law, and shall comply with all applicable federal, state, and local statutes, regulations and ordinances in performing the work. Proof of insurance and required licenses shall be provided to Client upon request prior to commencement of work.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

This Estimate and Agreement, including any attachments and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Acceptance and Authorization

By signing below and selecting acceptance, Client authorizes the Service Provider to perform the services described in this Estimate and Agreement in accordance with the terms set forth. Client further authorizes Service Provider to enter the property at mutually agreed times to perform work and inspections.
