PEST CONTROL SERVICES AGREEMENT

This Pest Control Services Agreement ("Agreement") is made effective as of the day of , , by and between Client Name: with principal address at (hereinafter "Client"), and Service Provider Name: with principal address at (hereinafter "Service Provider"). Client and Service Provider are collectively referred to as the "Parties."

RECITALS

WHEREAS, Service Provider is duly licensed and experienced in the provision of pest control and integrated pest management services and maintains all required permits and insurance to perform such services in the jurisdiction where the Services are provided; and

WHEREAS, Client desires to engage Service Provider to perform pest control services at the Client's premises described above upon the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider agrees to perform such services and supply materials in accordance with the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Service Provider shall perform pest control services described in Schedule A: Scope of Services attached hereto and incorporated by reference. The Scope of Services shall set forth specific treatments, target pests, treatment areas, frequency, materials to be used, and any exclusions. Service Provider shall perform services in a professional manner in accordance with industry standards and applicable laws.

2. TERM AND SCHEDULING

2.1 Term. The initial term of this Agreement shall commence on the effective date set forth above and continue for a period of months, unless earlier terminated pursuant to this Agreement. Thereafter the Agreement shall automatically renew for successive terms of months unless either Party provides written notice of non-renewal at least days prior to the end of the then-current term.

2.2 Scheduling. Service Provider shall schedule services in coordination with Client. Service days and times are approximate; Service Provider shall provide advance notice of scheduled visits where practicable. Client shall provide reasonable access to the premises and inform Service Provider of any restricted areas.

3. COMPENSATION AND PAYMENT

3.1 Invoicing. Service Provider shall invoice Client in accordance with the fee schedule above or as otherwise agreed in writing. Unless otherwise stated, invoices are payable within days of invoice date.

3.2 Late Payments. Any undisputed past due amount shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client shall be responsible for reasonable collection costs and attorney's fees incurred in collecting past due amounts.

4. MATERIALS, CHEMICALS AND COMPLIANCE

4.1 Materials. Service Provider shall supply pesticides, baits, traps and other materials necessary to perform the Services. All materials shall be applied in accordance with the label instructions and applicable regulatory requirements.

4.2 Safety and Regulatory Compliance. Service Provider represents and warrants that it will comply with all federal, state and local laws, ordinances, and regulations applicable to the provision of pest control services including proper handling, storage and disposal of pesticides and maintenance of licenses required to perform the Services.

5. ACCESS, SITE CONDITIONS, AND CLIENT RESPONSIBILITIES

5.1 Access. Client shall provide Service Provider and its employees and agents with reasonable access to the premises and areas to be treated. If access is not provided as scheduled, Service Provider may reschedule and Client shall remain responsible for applicable fees.

5.2 Client Responsibilities. Client shall remove food, cover or secure exposed items, and take reasonable measures to allow effective treatment as directed by Service Provider. Client shall notify Service Provider of any known sensitivities, occupants with special medical conditions, or protected species concerns prior to treatment.

6. INSURANCE, INDEMNITY AND LIMITATION OF LIABILITY

6.1 Indemnity. Service Provider shall indemnify and hold harmless Client from and against claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Service Provider's negligent acts or omissions in the performance of the Services. Client shall indemnify Service Provider from claims arising from Client's breach of this Agreement or Client's negligence.

6.2 Limitation of Liability. Except for damages resulting from gross negligence or willful misconduct, each Party's aggregate liability to the other for any and all claims arising under this Agreement shall not exceed the total amount paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

7. TERMINATION

7.1 Termination for Cause. Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within days after receiving written notice specifying the breach.

7.2 Termination Without Cause. Either Party may terminate this Agreement without cause upon days' prior written notice to the other Party. Upon termination, Client shall pay for all Services performed and materials provided through the effective date of termination.

8. CONFIDENTIALITY

Each Party agrees that all proprietary information, pricing, trade secrets and other non-public information disclosed by one Party to the other in connection with this Agreement shall be held in confidence and shall not be disclosed to third parties without prior written consent, except as required by law. This obligation shall survive termination of this Agreement for a period of two (2) years.

9. SUBCONTRACTING; INDEPENDENT CONTRACTOR

Service Provider may engage subcontractors to perform portions of the Services, provided that Service Provider remains responsible for the performance of such subcontractors. Service Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, agency or joint venture relationship between the Parties.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person or three (3) business days after deposit in the United States mail, postage prepaid, or upon confirmed electronic delivery. Notices shall be sent to the addresses set forth below or to such other address as a Party may designate by notice in accordance with this Section.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state in which the services are performed, without regard to principles of conflicts of law.

12.2 Entire Agreement. This Agreement, including any Schedules and attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, agreements and understandings, whether written or oral.

12.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

MISCELLANEOUS PROVISIONS

13.1 Remedies. Except as otherwise provided in this Agreement, the remedies provided herein are cumulative and in addition to any other remedies available at law or equity.

13.2 Records. Service Provider shall maintain records of services performed and materials applied and shall provide reports to Client upon request. Such records shall be retained for a period of at least two (2) years following performance of the services.
