PEST CONTROL TERMITE AGREEMENT

Recitals

WHEREAS, Contractor is duly licensed and experienced in the inspection for, prevention of, and treatment for subterranean and drywood termite infestations and related wood-destroying organisms; and

WHEREAS, Client is the owner or authorized agent of the Service Address and desires Contractor to perform termite inspection, treatment, and monitoring services under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

Scope of Work

Contractor shall perform the following services at the Service Address. Services shall be performed by qualified personnel in accordance with industry standards and applicable laws and regulations.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to termination. Termination for cause shall be permitted for material breach that remains uncured for a period of thirty (30) days after written notice.

Warranty; Exclusions

Contractor warrants that treatments will be performed in a professional manner consistent with industry standards. Contractor offers a limited warranty that, for a period of from completion, Contractor will retreat affected areas at no additional labor cost should active termite infestation be discovered and confirmed by Contractor, subject to the terms below.

Inspections and Monitoring

Initial inspection shall be performed prior to treatment. Ongoing monitoring visits shall occur as specified in the Scope of Work. Contractor will provide written reports of findings.

Client Responsibilities; Access

Client shall grant Contractor reasonable access to the Service Address and shall remove or secure personal property that may obstruct treatment. Client shall promptly notify Contractor of suspected infestation or damage.

Confidentiality

Each party agrees to keep confidential all non-public business and technical information of the other party disclosed in connection with this Agreement and not to disclose such information to third parties except as required by law or as necessary to perform the obligations under this Agreement. This obligation survives termination for a period of three (3) years.

Indemnification; Limitation of Liability

Client agrees to indemnify and hold Contractor harmless from claims arising from Client's breach of this Agreement, improper maintenance, or pre-existing conditions. Contractor's total liability for any claim arising under this Agreement shall not exceed the total amounts paid by Client to Contractor under this Agreement, except for willful misconduct or gross negligence.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Disputes shall be resolved by binding arbitration unless otherwise agreed in writing.

Entire Agreement; Amendments
