PEST CONTROL TERMITE TREATMENT AGREEMENT

Recitals

WHEREAS, Service Provider is duly licensed and experienced in the inspection and treatment of subterranean termite infestations and provides pest control services to residential and commercial properties; and

WHEREAS, Client owns or controls the Property described below and desires to engage Service Provider to perform termite inspection, treatment and related services under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Service Provider shall perform termite treatment and related services at the Property. The specific treatments selected and the surfaces to be treated are set forth below and described in the Scope of Work.

Late Payment: Any undisputed amount not paid within days after due date shall incur a late fee of per month, or the maximum allowed by law, whichever is less.

Warranty & Limitations

Provider warrants that treatments will be performed in a professional manner consistent with industry standards. Provider provides a conditional re-treatment warranty for active subterranean termite infestations discovered within from completion, subject to the terms below.

Warranty Conditions: Warranty applies only to the specific treatment areas and is void if the Property has untreated wood-to-soil contact, continued wood moisture problems, structural alterations, other pest control treatments by third parties without Provider consent, or failure by Client to pay amounts due. Warranty excludes drywood termites, powderpost beetles, carpenter ants, and damage caused by previous or subsequent infestations.

Limitation of Liability: Provider's maximum aggregate liability under this Agreement shall not exceed the total fees paid by Client for the treatment. Provider shall not be liable for incidental, consequential or punitive damages, including but not limited to loss of use, diminished property value, or cosmetic damage, except to the extent required by applicable law.

Term and Termination

Term begins on and continues until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Client may cancel prior to commencement of work subject to forfeiture of deposit as liquidated damages if cancellation is within days of scheduled start.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public business, technical or financial information of the other party disclosed in connection with this Agreement, except as required by law or to perform obligations hereunder. Confidential information does not include information that is or becomes public through no breach of this Agreement.

Compliance, Permits & Safety

Provider will apply pesticides and execute treatments in compliance with applicable laws, labels and industry standards. Client is responsible for obtaining any required access approvals for multi-unit or leased properties and for disclosing known environmental or health conditions that may affect treatment. Provider shall provide safety instructions and notices to occupants prior to treatment; Client shall ensure compliance with those instructions.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement: This document, together with any attached scope attachments and work orders signed by the parties, constitutes the entire agreement between the parties regarding termite inspection and treatment and supersedes all prior agreements and representations, whether written or oral.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except that Provider may assign to an affiliate or successor in interest in connection with a sale of Provider's business.

Severability: If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
