RECITALS

WHEREAS, Service Provider is engaged in the business of providing termite inspection, treatment and related pest control services and represents that it is duly licensed and insured to perform such services within the jurisdiction covering the Property; and

WHEREAS, Client is the owner or lawful occupier of the Property and desires treatment to control or eradicate termite activity as described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform termite treatment services at the Property.

Either party may terminate this Agreement for material breach if such breach is not cured within days after written notice. For non-breach termination by Client, Client shall provide at least days' written notice and shall be responsible for payment for work performed to date and any non‑cancelable expenses.

WARRANTIES, GUARANTEES & LIMITATIONS

Service Provider warrants that treatments will be performed in a professional manner consistent with industry standards. Service Provider does not warrant eradication of termite activity beyond the express written guarantees set forth below. Client acknowledges that subterranean termite control is dependent on site conditions and complete elimination cannot be guaranteed in all cases.

Limitation of Liability: Except for gross negligence or willful misconduct, Service Provider's liability for any claim arising from or related to this Agreement shall be limited to actual direct damages not to exceed the contract price paid by Client. In no event shall Service Provider be liable for incidental, consequential, punitive or special damages.

CLIENT RESPONSIBILITIES & ACCESS

Client shall provide reasonable access to treated areas and shall remove stored items, drywall, and other obstructions as necessary. Service Provider is not responsible for damage to concealed items or items knowingly left in treatment zones.

CONFIDENTIALITY

Each party agrees to keep confidential any proprietary information disclosed by the other party in connection with this Agreement and not to disclose such information to third parties except as required by law. Confidential information does not include information that is publicly available through no breach by the receiving party or that was independently developed by the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written estimates expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous oral or written agreements. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Insurance: Service Provider represents that it maintains commercial general liability and workers' compensation insurance as required by applicable law. Client may request evidence of insurance prior to commencement of work.
