Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause is permitted where a material breach is not cured within a reasonable cure period after written notice.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information disclosed in connection with this Agreement, including proprietary treatment methods, pricing, and inspection reports, and shall not disclose such information except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement or is independently developed by a receiving party.

WARRANTY, LIABILITY & INDEMNITY

The Service Provider warrants that services will be performed in a workmanlike manner consistent with prevailing industry standards. Except as expressly stated herein, all other warranties are disclaimed. Provider's total liability for direct damages arising from performance or nonperformance under this Agreement is limited to the fees paid by Client for the specific service giving rise to the claim. Neither party shall be liable for consequential, incidental, or punitive damages. Client agrees to indemnify and hold Provider harmless from claims arising from Client's failure to follow pre- and post-treatment instructions or from conditions beyond Provider's control.

CLIENT PREPARATION & ACCESS

Client certifies that Provider has access to treatment areas and has been informed of any sensitive occupants (children, elderly, pregnant persons, or pets). Client will follow Provider's instructions for ventilation, covering food, and restricting access for the prescribed re-entry interval.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of law principles. This Agreement, including any attachments or service reports signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

ACKNOWLEDGMENTS

By signing below, Client acknowledges receipt of the Service Provider's pre-treatment instructions, understands the risks and limitations of pest control treatments, and authorizes Provider to perform the services described in this Agreement at the Property Address.
