Recitals

WHEREAS, Client desires to engage Service Provider to perform pesticide application services at the location(s) specified below in accordance with the terms and conditions of this Agreement; and

WHEREAS, Service Provider represents that it is properly licensed, trained and insured to apply pesticides and will perform such services in a professional manner consistent with applicable laws, label directions, and industry standards; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

Payment Terms

Payments are due in accordance with the payment schedule. Client agrees to pay invoices within the specified terms. Overdue amounts shall accrue interest at the rate specified above and Service Provider may suspend services if payments are not timely.

Either party may terminate this Agreement for cause if the other party materially breaches and fails to cure within the notice period. Termination by Client for convenience prior to commencement of services may be subject to cancellation fees as set forth in the payment schedule.

Confidentiality

Each party shall keep confidential all non-public business information disclosed by the other party in connection with this Agreement. Confidential information shall not include information already known by the receiving party, information in the public domain other than by breach of this Agreement, or information required to be disclosed by law; provided that the disclosing party shall be given prompt notice to seek protective measures.

Liability, Insurance, and Indemnification

Service Provider shall maintain and provide proof of general liability and professional liability insurance in amounts customary for the trade and as reasonably requested by Client. Service Provider agrees to indemnify and hold Client harmless from claims arising from Service Provider's negligent acts or omissions in performing the services, except to the extent caused by Client's negligence or willful misconduct.

Applicator Certifications & Recordkeeping

By signing below, Service Provider certifies that the applicator(s) performing the services hold all required licenses and certifications and will comply with product label directions and applicable law. Records of applications, products used, rates, and weather conditions will be maintained by Service Provider and provided to Client upon request.

Compliance, Governing Law & Entire Agreement

Each party shall comply with all applicable federal, state and local laws and regulations in the performance of this Agreement. Any required permits or notifications remain the responsibility of the parties as set forth herein.

Governing Law: The parties agree that the laws of the state of shall govern this Agreement without regard to conflict of law principles.

Entire Agreement: This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification must be in writing and signed by both parties.

Acknowledgment and Certification

The undersigned Client authorizes Service Provider to perform the pesticide application services described herein and acknowledges receipt of this Agreement and any required pre-application notices.
