Scope of Services

Provider shall perform the tasks and services described below in accordance with standard industry practices and the instructions provided by Client. Provider will exercise reasonable care for the health, safety, and well‑being of the pet(s).

Provider will exercise reasonable care but shall not be liable for loss, injury, or death to the pet(s) except to the extent caused by Provider's gross negligence or willful misconduct. Client shall indemnify and hold Provider harmless from all claims, costs, and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, Client's omissions, or the acts of the pet(s).

Confidentiality

Each party agrees that any non‑public information disclosed by the other party in connection with this Agreement, including but not limited to contact information, health information for the pet(s), and proprietary business information, will be kept confidential and used solely for the performance of this Agreement, except as required by law or court order.

Term and Termination

This Agreement commences on the Effective Date above and continues until the completion of the services set forth or until terminated by either party upon written notice of days to the other party. Provider may terminate immediately for Client's failure to pay or for failure to provide required vaccinations or accurate pet information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the principal services under this Agreement are performed, without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with any written attachments or addenda signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
