Recitals

WHEREAS, Seller is the lawful owner of the animal described herein and has authority to sell and transfer ownership;

WHEREAS, Buyer desires to purchase and Seller desires to sell the animal on the terms and conditions set forth in this Letter of Intent;

WHEREAS, the parties intend for this Letter of Intent to memorialize principal transaction terms and to serve as the basis for a definitive Purchase Agreement to be executed by the parties.

Late Payment: If Buyer fails to tender any payment when due, a late fee of of the overdue amount shall accrue. Seller reserves the right to retain the deposit as liquidated damages if Buyer defaults, unless parties agree otherwise in writing.

Inspection; Health and Vaccinations

Buyer shall have the right to a pre-purchase veterinary examination at Buyer’s expense within days of the parties’ agreement. If the examination reveals a material health condition not disclosed by Seller, Buyer may rescind the transaction and Seller shall promptly refund the deposit, less reasonable veterinary and transport expenses.

Seller represents that to Seller’s knowledge the animal is up-to-date on vaccinations and has received a health certificate from a licensed veterinarian within days prior to transfer. Seller makes no other warranties except as expressly stated in this Letter of Intent and any subsequently executed Purchase Agreement.

Transfer of Ownership and Registration

Transfer of title and all registration documents shall occur at the time of final payment and physical delivery of the animal. Seller shall deliver copies of all veterinary records and registration paperwork, if any, upon transfer. Any costs associated with registration transfer shall be borne by

Unless otherwise agreed in writing, Buyer agrees that the animal will not be bred and will be spayed/neutered by at Buyer’s expense. Any exceptions regarding breeding rights must be documented in the definitive Purchase Agreement.

Term and Termination

Effective Date: . This Letter of Intent shall remain in effect until unless earlier terminated by mutual written agreement or as provided herein.

Either party may terminate this Letter of Intent upon days’ written notice to the other party. Termination shall not relieve either party of obligations accrued prior to termination, including refunds or retained deposits as set forth above.

Confidentiality

The parties agree that the terms of this Letter of Intent, including purchase price, veterinary records and any proprietary breeding or health information disclosed in connection with the transaction, shall be kept confidential and shall not be disclosed to third parties except as required by law or to professional advisors on a need-to-know basis who are bound by confidentiality obligations.

Default; Remedies

If Buyer defaults in payment, Seller may retain the deposit as liquidated damages and may pursue all other remedies available at law. If Seller defaults in transferring the animal or fails to disclose material health information, Buyer may recover the deposit and direct damages proved, or may seek specific performance at Buyer’s election.

Governing Law

This Letter of Intent shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Letter of Intent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. No amendment shall be effective unless in writing and signed by both parties. Except for provisions that by their nature are intended to survive termination, this Letter of Intent will terminate as provided above and will be superseded by any subsequently executed Purchase Agreement.

Miscellaneous Provisions

All notices required or permitted shall be in writing and delivered to the addresses set forth above by hand, certified mail, or overnight courier. If any provision of this Letter of Intent is held unenforceable, the remaining provisions shall remain in full force and effect.
