PET SHOP AGREEMENT

This Pet Shop Agreement ("Agreement") is made effective as of by and between the parties identified below.

Recitals

WHEREAS, Service Provider operates a retail and service establishment that provides pet care services including but not limited to grooming, boarding, day care, sale of pet goods, and veterinary referral ("Services"); and

WHEREAS, Client desires to engage Service Provider to provide specified Services for the pet(s) identified by Client in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties agree to memorialize their rights and obligations in this Agreement.

Payment Terms

Payment is due in accordance with the Payment Schedule above. If Client fails to pay any undisputed amount when due, interest will accrue at the rate of after a grace period of days. Client is responsible for all collection costs and reasonable attorney's fees incurred in enforcing payment obligations.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breach is not cured within 15 days after written notice of such breach.

Confidentiality

Each party acknowledges that in the course of performance it may obtain confidential or proprietary information of the other party. Each party shall hold such information in strict confidence and shall not disclose it to any third party except as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or is independently developed by the receiving party.

Insurance and Liability

Service Provider shall maintain commercially reasonable liability insurance covering its operations. Client represents that Client's pets are currently vaccinated as required by local law and that Client will provide accurate health information. Service Provider's liability for damages shall be limited to direct damages and shall not exceed the total fees paid by Client under this Agreement for the specific Services giving rise to the claim. Neither party shall be liable for consequential, incidental, special, or punitive damages.

Indemnification

Each party shall indemnify and hold harmless the other party from and against any claims, liabilities, losses, or expenses (including reasonable attorney's fees) arising out of the indemnifying party's breach of this Agreement, negligent acts, or willful misconduct, except to the extent caused by the negligence or willful misconduct of the other party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate in writing.
