What the Petroleum Industry Foundation Agreement Is

The Petroleum Industry Foundation Agreement is a legally binding contract that establishes the creation, governance, and primary operating terms for a foundation affiliated with petroleum sector activities. It sets out the foundation's purpose, board and officer roles, funding sources, restrictions on fund use, conflict-of-interest rules, reporting obligations, and termination procedures. The agreement typically covers grantmaking standards, intellectual property treatment for funded projects, indemnities, and compliance with applicable environmental, safety, and industry-specific regulations. Parties use this document to create consistent governance and reduce legal ambiguity for donors, grantees, and stakeholders.

Why a Clear Foundation Agreement Matters

A formal Petroleum Industry Foundation Agreement clarifies roles, protects donors and beneficiaries, and reduces future disputes by documenting governance, funding limitations, and compliance responsibilities. It also helps satisfy due diligence for corporate donors and aligns the foundation with tax and environmental reporting obligations.

  • Foundation board members and officers responsible for governance, grant approval, and fiduciary oversight of funds and programs.
  • Third-party service providers such as grant administrators, auditors, and external counsel who review operational and tax compliance provisions.

Effective date and term:

Record the effective date and any renewal or sunset clauses to trigger reviews.

Board approvals:

Schedule board votes and resolution dates for authorizing the agreement before execution.

IRS reporting:

Align fiscal year-end records with Form 990 filing deadlines for tax-exempt organizations.

State charity filings:

File registration or periodic reports as required by the state charity regulator.

Retention review:

Set review triggers for records retention and destruction schedules.

Common Pitfalls to Avoid

  • Leaving ambiguous funding language that lacks specific amounts or durations often causes donor disputes and fiscal reporting errors.
  • Failing to document board resolutions or delegated authority can invalidate signatures or lead to governance challenges during audits.
  • Not specifying governing law or forum selection increases litigation risk and can complicate dispute resolution across jurisdictions.
  • Using inconsistent entity names or outdated EINs across documents triggers banking, grant, and tax-exemption verification failures.

Consequences of Errors or Noncompliance

Tax jeopardy: Loss of tax-exempt status
Civil liability: Donor or beneficiary lawsuits
Regulatory fines: State charity penalties
Contract invalidation: Agreements voided for lack of authority
Reputational harm: Loss of donor trust
Audit findings: Mandatory corrective actions
