PHANTOM SHARE PURCHASE AGREEMENT

Taxes; Withholding

The Company may withhold from any payment under this Agreement or require the Purchaser to remit to the Company sufficient funds to satisfy any such withholding obligation.

Representations and Warranties

The Company represents and warrants to the Purchaser that (a) it has full corporate power and authority to enter into this Agreement and to grant the Phantom Units, (b) the execution and delivery of this Agreement has been duly authorized by all necessary corporate action, and (c) the obligations under this Agreement are enforceable against the Company in accordance with their terms, subject to customary limitations.

The Purchaser represents and warrants to the Company that (a) the Purchaser has full power and authority to enter into this Agreement, (b) the Purchaser is acquiring the Phantom Units for investment and not with a view to distribution, and (c) the Purchaser's execution, delivery and performance of this Agreement will not violate any agreement to which the Purchaser is a party.

Transfer Restrictions

Phantom Units are not transferable except as expressly permitted by the Plan and this Agreement. Any attempted transfer in violation of this Agreement shall be null and void. Phantom Units shall in all respects be subject to the terms of the Plan and any legend, restrictions, repurchase rights or forfeiture conditions required by the Company.

Confidentiality

The Purchaser shall keep confidential all non-public information concerning the terms of the Plan, this Agreement and the Company's business that the Purchaser obtains as a result of participation in the Plan, subject to required disclosures by law.

Events of Default; Remedies

In the event of a material breach of this Agreement by either party, the non-breaching party may pursue all remedies available at law or in equity, including specific performance. The Company and the Purchaser agree that monetary damages may be insufficient and that injunctive relief may be appropriate to prevent breaches of Sections concerning confidentiality and transfer restrictions.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising under this Agreement.
