Pharmaceutical Agreement

This Pharmaceutical Agreement ("Agreement") is entered into as of Effective Date: by and between:

Parties

Recitals

WHEREAS, Supplier: engages in the research, development, manufacture and/or supply of pharmaceutical products and related materials; and

WHEREAS, Recipient: desires to engage Supplier to provide the services and/or products described herein under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that Supplier perform services and deliver product meeting the specifications, regulatory requirements, and quality standards set forth below.

Scope of Work

Supplier shall perform the services and/or supply pharmaceutical product as described in this Section. Supplier's obligations include development, manufacturing, quality control, release testing, labeling, packaging, and documentation necessary for regulatory compliance, as applicable.

Payment Terms

In consideration for the performance of the Scope of Work, Recipient shall pay Supplier the fees set forth below in accordance with the invoicing and payment schedule. All fees are exclusive of taxes unless otherwise stated.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if such breach is not cured within thirty (30) days after written notice specifying the breach. Termination shall be without prejudice to any rights or remedies available at law or equity.

Effects of Termination: Upon expiration or termination, Supplier shall deliver completed work and all documentation to Recipient, Recipient shall pay for all work performed through the effective date of termination, and the parties shall comply with the survival provisions set forth in this Agreement.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any confidential or proprietary information of the other party (the "Disclosing Party") disclosed in connection with this Agreement. Confidential information includes, without limitation, formulations, processes, manufacturing parameters, regulatory submissions, clinical data, pricing and commercial terms, and business plans.

Exceptions: Confidential information does not include information that is (a) publicly known other than by breach of this Agreement, (b) rightfully received from a third party without restriction, (c) independently developed without use of the Disclosing Party's confidential information, or (d) required to be disclosed by law or regulation, provided the Receiving Party gives prompt written notice and cooperates with the Disclosing Party to seek protective measures.

Regulatory Compliance; Quality

Supplier warrants that all products and services provided under this Agreement shall comply with applicable laws, regulations, current Good Manufacturing Practices (cGMP), and all regulatory requirements in the jurisdictions where product is to be supplied. Supplier shall maintain records and provide access to documentation to permit Recipient to demonstrate regulatory compliance as reasonably requested.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of representations, warranties or obligations under this Agreement, except to the extent caused by the negligence or willful misconduct of the other party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Entire Agreement; Amendment

This Agreement, together with any attachments, exhibits and mutually executed purchase orders or statements of work, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement. Notices: Notices shall be in writing and delivered to the addresses set forth above or such other address as may be designated in writing.
