RECITALS

WHEREAS, Photographer is a professional photographer engaged in the production of still and digital images and related services; and

WHEREAS, Client desires to engage Photographer to provide photography services for the Shoot described above and to grant Photographer certain rights to use images and likenesses in accordance with the terms of this Agreement; and

WHEREAS, the parties wish to set forth the terms of their agreement, including consent and release of rights relating to photographs and recordings;

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice. Termination does not relieve Client of obligations to pay for services performed through the effective date of termination.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of confidential information disclosed by the other party in connection with this Agreement. Confidential information does not include information that (i) is publicly known through no wrongful act, (ii) is independently developed without use of confidential information, or (iii) is required to be disclosed by law.

CONSENT, LICENSE AND RELEASE

Client hereby grants Photographer the right to photograph and record Client and/or subjects presented by Client and grants Photographer a perpetual, worldwide, royalty-free, transferable license to use, reproduce, distribute, display, publish, and create derivative works of the images and recordings in any media now known or hereafter developed for promotional, commercial, editorial, archival, and portfolio purposes.

Client acknowledges that Photographer retains all copyrights and ownership of the original materials and that Client's use of images is subject to the license granted herein and any additional usage terms agreed in writing.

Client releases Photographer from any claims relating to use of the images, including claims for invasion of privacy, publicity, or monetary damages, provided such use is consistent with the license granted in this Agreement.

REPRESENTATIONS, WARRANTIES, AND INDEMNITY

Each party represents and warrants that it has full authority to enter into this Agreement. Client warrants that all persons present at the Shoot have consented to photography as required. Client agrees to indemnify, defend, and hold Photographer harmless from claims arising from Client's breach of this Agreement or from Client-supplied materials.

GOVERNING LAW

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and do not affect interpretation.
