PHOTOGRAPHY CONTRACT

This Photography Contract (the Agreement) is entered into as of by and between Client Name: and Photographer Name: .

RECITALS

WHEREAS, Client desires to engage Photographer to provide photographic services in connection with the event described below; and

WHEREAS, Photographer represents that Photographer has the expertise, equipment and professional ability to provide such services and agrees to perform under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Photographer shall provide photographic services (the Services) as described in the Scope of Work below. The Services shall include on-site photography, post-production editing, and delivery of final deliverables as specified.

2. DELIVERABLES

Photographer will deliver the following final assets to Client in the formats and within the timeframe specified below.

3. PAYMENT TERMS

Client shall pay Photographer the fees set forth below in consideration for performance of the Services. All fees are exclusive of taxes unless otherwise stated.

4. INTELLECTUAL PROPERTY & LICENSE

Photographer retains copyright to all images and photographic works created under this Agreement unless a written assignment of copyright is executed separately. Upon full payment, Photographer grants Client a non-exclusive, non-transferable license to use the delivered images as specified below.

Personal use (prints, social media sharing)
Commercial use (advertising, merchandise) — requires explicit written permission and may incur additional fee
Editorial use (publication, press)

Client shall not remove Photographer credit where reasonably practicable. Any use beyond the scope of the license granted herein requires prior written authorization and may require additional compensation.

5. CONFIDENTIALITY

Each party agrees to maintain in confidence any confidential information disclosed by the other party and to use such information only for the performance of this Agreement. Confidential information excludes information that is or becomes publicly known through no breach by the receiving party or that was already lawfully in the receiving party's possession.

6. TERM & TERMINATION

This Agreement commences on and continues until completion of the Services and delivery of all Deliverables, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Client acknowledges that the deposit is non-refundable except where otherwise required by law.

7. CANCELLATION & RESCHEDULING

Client may request rescheduling subject to Photographer availability. If Client cancels within 30 days of the event date, Client shall be responsible for the full fee less any amounts recoverable by Photographer from rebooking for the same date. Travel and pre-production expenses incurred by Photographer prior to cancellation are reimbursable by Client.

8. DELIVERY & ACCEPTANCE

Photographer will deliver proofs and final images within the periods set forth in the Deliverables section. Client shall notify Photographer of any objections within 14 days after delivery; otherwise the Deliverables will be deemed accepted.

9. INDEMNIFICATION & LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from claims arising out of negligent acts or willful misconduct. Photographer's total liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client under this Agreement. In no event shall Photographer be liable for consequential, special, or punitive damages.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

11. ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties.
