Term and Termination

Either party may terminate this Agreement for material breach if the breach remains uncured for a period of days after written notice. Termination does not relieve Client of payment obligations for services performed through the date of termination.

Confidentiality

Confidential information does not include information that is publicly available or independently developed without use of the other party's confidential information.

Photographer hereby grants Client a non-exclusive, non-transferable license to use the delivered headshot images for personal and professional self-promotion (including social media and professional profiles), unless otherwise specified below. Photographer retains the copyright to all images and may use images for portfolio, marketing, and promotional purposes unless Client selects the option below prohibiting such use and pays an additional fee.

Cancellation and Rescheduling

Indemnification; Limitation of Liability

Each party agrees to indemnify and hold harmless the other party from claims arising from that party's negligence or willful misconduct. Photographer's liability for any claim arising under this Agreement shall not exceed the total amounts paid by Client to Photographer under this Agreement. Photographer is not responsible for loss of images due to causes beyond Photographer's reasonable control once final delivery has occurred.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between Photographer and Client with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Photographer may subcontract services to qualified personnel.
