PHOTOGRAPHY LIFESTYLE PORTRAIT SESSION AGREEMENT

This Photography Lifestyle Portrait Session Agreement (Agreement) is made between Photographer Name: and Client Name: (collectively, the Parties), effective as of Effective Date: .

WHEREAS

WHEREAS, Photographer is a professional photographer engaged in portrait, lifestyle and related photographic services and possesses the skill, experience and equipment necessary to perform the services described in this Agreement;

WHEREAS, Client desires to retain Photographer to provide a lifestyle portrait photography session on the terms set forth herein and Photographer agrees to provide such services pursuant to the terms of this Agreement;

WHEREAS, the Parties intend to define their respective rights and obligations with respect to the session, payment, delivery, ownership, confidentiality, and permitted uses of the resulting images.

SCOPE OF WORK

DELIVERY, OWNERSHIP & LICENSE

Photographer retains all copyright and moral rights in the images produced in connection with the services. Photographer grants Client a non-exclusive, non-transferable license to use the delivered images for Client's personal, non-commercial purposes, including social media and personal prints. Client shall not sell, license, or otherwise exploit the images for commercial use without a separate written license from Photographer.

Photographer will deliver edited images within of the session, unless delayed by force majeure or Client-requested changes. Delivery media and file format will be as specified in the Scope of Work.

PAYMENT TERMS

Balance is due by unless otherwise agreed in writing. Accepted payment methods: check, bank transfer, or credit card. Additional charges for rush delivery or extra retouching will be billed separately and are due upon receipt.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues through End Date: unless earlier terminated as provided below.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within Notice Period: after receipt of written notice. Photographer's obligation to deliver images is contingent upon full payment of fees due. Deposit is non-refundable except as expressly provided in this Agreement.

Cancellation and rescheduling by Client within 7 days of the session may forfeit part or all of the deposit and may result in additional fees for Photographer's time and expenses.

CONFIDENTIALITY

The Parties acknowledge that certain information exchanged in connection with this Agreement may be confidential. Each Party shall keep confidential all information marked confidential or which a reasonable person would consider confidential, and shall not disclose such information to third parties except as required by law or with the prior written consent of the other Party. Confidentiality obligations shall not apply to information that is or becomes generally known to the public through no wrongful act of the receiving Party.

RELEASE, REPRESENTATIONS & INDEMNITY

Client represents that Client has the authority to permit all persons appearing in the images to be photographed and to grant the license and releases set forth in this Agreement. Client hereby grants Photographer a limited model release to use images for Photographer's portfolio, promotional materials, and marketing unless Client elects to restrict such use by initialing here:

Each Party shall indemnify and hold harmless the other Party from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from that Party's breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in that State.

ENTIRE AGREEMENT

This Agreement, together with any written attachments and the Scope of Work, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment or modification to this Agreement must be in writing and signed by both Parties.
