WHEREAS, Photographer is engaged in the business of providing professional photography services, including maternity portrait sessions; and

WHEREAS, Client desires to engage Photographer to provide a maternity photography session on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Photographer will provide a maternity photography session and related services as described below. Location(s), session duration, number of edited images, and any deliverables should be specified in the Scope of Work.

Payment Terms

Total session fee: $. A non-refundable deposit of $ is due to secure the session date.

Late fee: If any installment other than the non-refundable deposit is not received within days of its due date, a late fee of % of the overdue amount per month will accrue until paid.

Delivery and Turnaround

Photographer will deliver edited images and any other deliverables within from the session date, subject to timely receipt of all payments and cooperation from Client.

Copyright, Usage, and Model Release

Photographer retains all copyrights to the images. Photographer grants Client a non-exclusive, non-transferable license to use the delivered images for personal, non-commercial use. Any commercial use or resale requires a separate license and written permission from Photographer.

Model release: Client hereby grants Photographer the irrevocable right to use images for promotion, advertising, portfolio, social media, and related business uses unless Client checks the box below to withhold promotional usage (withholding may be subject to additional agreement).

Cancellation, Rescheduling, and Termination

Client may reschedule the session with at least notice without forfeiting the deposit, subject to Photographer availability. If Client cancels less than before the scheduled session, the deposit is forfeited and additional cancellation fees of $ may apply.

Either party may terminate this Agreement for material breach upon written notice if the breach is not cured within the notice period specified below.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information concerning the other party's business, personal details, session pricing, or unpublished images, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of this Agreement.

Limitation of Liability and Indemnification

Photographer's liability for any claim arising from this Agreement is limited to the total amount of fees paid by Client under this Agreement. Photographer is not liable for indirect, incidental, or consequential damages. Client shall indemnify and hold Photographer harmless from claims, liabilities, losses, or expenses arising from Client's breach of this Agreement, negligence, or willful misconduct.

Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, government action, natural disaster, fire, pandemic, or severe weather. In such event, parties shall cooperate to reschedule the session.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any attached addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Photographer may assign to a successor of its business.
