PHOTOGRAPHY MEETING AGREEMENT

This Photography Meeting Agreement (Agreement) is made as of by and between Client Name: (Client) and Photographer Name: (Photographer). The parties agree as follows.

RECITALS

WHEREAS, Client seeks photography services and requires an initial consultation to review project objectives, creative direction, and logistics; and

WHEREAS, Photographer is willing to provide a meeting and consultation to discuss the scope, schedule, and estimated costs for the photographic assignment described as: .

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree to the terms below.

SCOPE OF WORK

Photographer will attend and conduct a preparatory meeting to review creative brief, locations, shot list, timing, and resources. The meeting will include discussion of deliverables, usage rights, and any necessary permits.

PAYMENT TERMS

Client shall pay Photographer a non-refundable meeting fee in exchange for the consultation services described herein. Payment obligations are as follows:

All payments shall be made in U.S. dollars. Client shall reimburse Photographer for pre-approved, reasonable travel expenses and out-of-pocket costs incurred in connection with the meeting upon presentation of receipts. Any dispute regarding invoiced charges must be raised in writing within ten (10) days following receipt of the invoice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Termination for material breach by either party may be effected immediately upon written notice if the breach is not cured within a reasonable cure period specified in the notice.

CONFIDENTIALITY

Each party (Recipient) acknowledges that it may receive Confidential Information from the other party (Discloser). "Confidential Information" means non-public business, technical or creative information disclosed in connection with the meeting, including but not limited to project concepts, shot lists, budgets, client lists, and creative notes. Recipient agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to evaluate and perform obligations under this Agreement; and (c) restrict disclosure to those employees or contractors with a need to know who are bound by confidentiality obligations no less protective than those herein.

Confidentiality obligations shall continue for years following the date of disclosure. Confidential Information does not include information that (i) is or becomes generally available to the public through no act or omission of Recipient; (ii) was in Recipient's lawful possession prior to disclosure; or (iii) is required to be disclosed by law or legal process, provided Recipient gives prompt written notice and cooperates with Discloser to seek protective relief.

INDEPENDENT CONTRACTOR AND INSURANCE

Photographer performs services as an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship. Photographer is solely responsible for withholding taxes and maintaining insurance as appropriate for the services provided. Photographer shall maintain general liability insurance and, upon request, provide proof of coverage to Client.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: , without regard to its conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments or exhibits executed by the parties, constitutes the entire agreement between Client and Photographer regarding the meeting and supersedes all prior proposals, negotiations and representations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach.
