PHOTOGRAPHY MODEL RELEASE FORM

This Model Release Agreement ("Agreement") is entered into as of by and between Photographer Name: and Model Name: .

WHEREAS

WHEREAS, Photographer desires to photograph or record the Model during a photography session described below for lawful commercial, editorial, promotional and artistic purposes; and

WHEREAS, Model desires to grant Photographer and Photographer's licensees and assigns the right to use such Photographs and Recordings in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement constitute a complete and binding release and license for the uses described herein.

SESSION DETAILS / SCOPE OF WORK

GRANT OF RIGHTS, RELEASE AND LICENSE

Model hereby irrevocably grants Photographer, Photographer's agents, licensees, successors and assigns a worldwide, perpetual, royalty-free, transferable and sublicensable right and license to photograph, record, reproduce, publish, distribute, modify, display and otherwise use the Model's image, voice and likeness, and any derivative works thereof ("Photographs and Recordings"), in whole or in part, for any purpose including but not limited to advertising, promotion, trade, editorial, commercial and artistic purposes.

Model releases and discharges Photographer from any and all claims, demands, liabilities or causes of action that Model may have now or in the future with respect to the use of the Photographs and Recordings, including claims for invasion of privacy, defamation or misappropriation of likeness or right of publicity.

MODEL REPRESENTATIONS AND CONSENT

Model represents and warrants that Model is at least 18 years of age and has the full right and authority to enter into this Agreement.


COMPENSATION / PAYMENT TERMS

In consideration for the rights granted herein, Photographer shall pay Model the compensation described below. Payment constitutes full and sufficient consideration for all rights granted.

TERM AND TERMINATION

This Agreement shall commence on the Session Date and shall continue in perpetuity, unless terminated in writing by mutual agreement of the parties. Notwithstanding the foregoing, a party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified below.

CONFIDENTIALITY

Unless otherwise agreed in writing, neither party shall disclose the confidential business information of the other party that is designated as confidential or that should reasonably be understood to be confidential. Confidential information does not include information that is publicly available through no wrongful act of the receiving party or that is required to be disclosed by law.

MISCELLANEOUS PROVISIONS

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of its representations, warranties or obligations under this Agreement.

Moral Rights: Model hereby waives any moral rights or similar rights Model may have in the Photographs and Recordings to the extent permitted by law.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

ADDITIONAL NOTICES

Assignment: Photographer may assign or transfer Photographer's rights under this Agreement to any successor, affiliate, or third party without Model's prior consent. Model may not assign this Agreement without Photographer's prior written consent.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
