PHOTOGRAPHY MODIFICATION AGREEMENT

RECITALS

WHEREAS, Client Name: (the "Client") and Photographer Name: (the "Photographer") entered into a Photography Services Agreement dated (the "Original Agreement") concerning photographic services for Project Name: .

WHEREAS, the parties desire to modify certain terms of the Original Agreement as set forth in this Photography Modification Agreement effective as of Effective Date: (the "Effective Date"), and the parties intend that, except as expressly modified herein, all terms and conditions of the Original Agreement remain in full force and effect.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree to amend the Original Agreement as follows.

SCOPE OF MODIFICATION / SCOPE OF WORK

The Photographer shall perform the following additional or revised services in connection with the Project. This description supplements and modifies the scope set forth in the Original Agreement.

PAYMENT TERMS

In consideration for the modified services, Client shall pay Photographer the Modification Fee and any associated costs as follows.

All amounts due are payable in the currency stated above and are exclusive of applicable taxes. Photographer shall invoice Client in accordance with the schedule above, and Client shall pay invoices within the time specified in the Original Agreement unless altered herein.

TERM AND TERMINATION

This Modification shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with the terms set forth herein.

Either party may terminate this Modification for convenience upon written notice to the other party delivered at least Notice Period (days): days prior to the intended termination date. Termination will not relieve the Client of the obligation to pay for work performed and expenses incurred prior to termination.

In the event of a material breach by either party that remains uncured after thirty (30) days' written notice, the non-breaching party may terminate this Modification immediately upon written notice.

CONFIDENTIALITY

The parties acknowledge that in the performance of the modified services they may disclose to each other certain confidential and proprietary information (collectively, "Confidential Information"). Each party agrees to maintain the confidentiality of Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable degree of care. Confidential Information does not include information that (a) is or becomes publicly known through no breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is independently developed without use of or reference to the other party's Confidential Information.

Neither party shall disclose Confidential Information to any third party except to agents, contractors, or employees who have a need to know and who are bound by confidentiality obligations at least as restrictive as those hereunder. Upon termination or expiration of this Modification, each party shall return or destroy the other party's Confidential Information upon written request.

INTELLECTUAL PROPERTY & USAGE

Except as expressly modified herein, ownership, licenses, and usage rights with respect to photographs, negatives, digital files and related materials shall remain as set forth in the Original Agreement. Any additional licenses or usage rights granted under this Modification shall be described in Detail of Usage:

WARRANTIES; INDEMNITY

Each party represents that it has the full right, power and authority to enter into this Modification and to perform its obligations hereunder. Photographer warrants that the services will be performed in a professional manner consistent with industry standards. Client agrees to indemnify, defend and hold Photographer harmless from and against any claims arising from Client's instructions, use of photographs beyond the rights granted, or Client-supplied materials.

GOVERNING LAW

This Modification shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENTS

This Modification, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Except as provided herein, no amendment or modification of this Modification shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Modification is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach. The parties agree that electronic signatures shall be binding and enforceable to the same extent as original signatures.
